Meela Concierge Service Terms

Last updated: November 5, 2026

These Concierge Service Terms are supplemental terms under Section 11.10 of the Meela Consumer Terms of Use (the "Terms"). They apply whenever you ask Meela, Inc. ("Meela," "Company," "we" or "us") to arrange goods or services from third parties. They are part of the Terms for those Services and prevail over the Terms if the two conflict. Capitalized words not defined here have the meanings given in the Terms. These Concierge Service Terms take effect on November 5, 2026 for new members and on December 5, 2026 for existing members.

(a) Scope. "Concierge Services" means Company arranging, at your request, goods and services from third parties, including restaurant delivery, grocery and household delivery, home services (such as handyman, plumbing, cleaning, furniture assembly and TV mounting), technology help, and other errands (each, a "Request"). Concierge Services are Services under the Terms, and Sections 6 through 10 of the Terms apply to them. Concierge Services are available only to members with an active Membership unless we say otherwise.

(b) Agency; Third-Party Providers. When you make a Request, Company acts solely as your agent to place it with a merchant, restaurant, delivery platform, marketplace or independent service professional (a "Third-Party Provider"). Company is not a restaurant, retailer, grocer, pharmacy, contractor, home improvement contractor or repair provider, and does not perform, supervise or control any Third-Party Provider's goods or work. Third-Party Providers are independent businesses, and their own terms, policies and guarantees apply. Company does not guarantee any Third-Party Provider's availability, timing, quality, workmanship, licensing, insurance or background. Company may place Requests through accounts held in Company's name; doing so does not make Company the seller or provider of the goods or services.

(c) Confirmation and authorization. Before placing a Request, Company will read back its material details: the items or scope of work, the Third-Party Provider, the estimated total including Company's fees, and the expected delivery or arrival window. Your verbal confirmation on a recorded call, or your written confirmation by text, authorizes Company to place the Request and to charge your payment method on file for the confirmed total. If the final amount exceeds the confirmed total by more than the greater of $10 or 10%, other than taxes and a gratuity you approved, we will contact you for approval before charging the difference. Confirmed details are conclusive, and Company is not responsible for a Request placed materially as you confirmed it.

(d) Charges. For each Request you pay: (i) the Third-Party Provider's charges, passed through at the amount charged to Company without markup, including item prices, delivery and platform fees, materials, taxes and any additional work you approve; (ii) Company's concierge fee as quoted to you before you confirm the Request; and (iii) any gratuity you choose, which is passed through in full to the Third-Party Provider. Prices on delivery platforms may be higher than in-store prices. Items may be substituted or unavailable, and we charge only for what the Third-Party Provider charges.

(e) Changes and cancellations. After a Request is placed, changes and cancellations are subject to the Third-Party Provider's policies. You are responsible for any cancellation fees and non-refundable charges. Company's concierge fee is earned when a Request is placed and is non-refundable, except as required by law or at Company's discretion.

(f) Excluded requests. Company will not arrange alcohol, tobacco, cannabis, prescription medications, firearms, or items requiring age or identity verification at delivery. Concierge Services are not for emergencies, medical care, nursing or personal care. In an emergency, call 911.

(g) Your responsibilities. You will give accurate addresses and access instructions, and you or another adult you choose will be present for in-home services. You decide whether to admit a Third-Party Provider to your home. Never share passwords, PINs (including EBT PINs) or full account numbers with Company personnel or Meela's AI; Company will never ask for them.

(h) Technology help. Technology help is troubleshooting guidance only. Company does not guarantee that any problem will be fixed, does not access your devices remotely, and is not responsible for data loss, device damage or third-party charges resulting from steps you take. Back up important data before making changes. If we cannot resolve an issue, we may offer a ride to a store, help ordering a replacement, or an in-home visit, each as a separate Request.

(i) Problems with a Request. Tell us about a missing, incorrect or unsatisfactory order or service within 48 hours. We will use reasonable efforts to seek a remedy from the Third-Party Provider on your behalf, such as a refund, credit or redelivery. Your remedy for the Third-Party Provider's goods or work is limited to what that Third-Party Provider provides, plus any refund of Company's concierge fee that Company chooses to give.

(j) Indemnity and release. Sections 6 and 6A of the Terms apply to claims and disputes involving Third-Party Providers in the same way they apply to TNCs and drivers.

(k) Food and grocery. Food and grocery items are prepared, packaged and handled by Third-Party Providers. Company does not verify ingredients, allergens, freshness or food safety. If you have a food allergy, confirm with the restaurant or retailer before eating.

(l) Limitation of liability. The exclusion in Section 8.1 of the Terms for ride-related damages also applies to damages arising from goods or services provided by a Third-Party Provider.

(m) Notices. Company may give notices about a Request by text, email or on a recorded call, as provided in Section 11.6 of the Terms.

(n) In-home services: injury, damage and theft. Third-Party Providers who enter your home are independent businesses or individuals. They are not Company's employees, agents or contractors, and Company does not supervise or control their work. Company is not responsible for their acts or omissions, including personal injury, property damage, loss or theft. Any screening of a Third-Party Provider, such as identity or background checks, is done by that provider or the platform it works through under that platform's own standards, and Company does not perform or verify it. Your remedies for injury, damage or loss caused by a Third-Party Provider are against that provider, its insurer, or the platform through which it was booked. If we booked the Request through an account in Company's name, Company will, at your request, submit a claim to that platform for you and pass along any payment it receives for your loss. Nothing in these Concierge Service Terms limits Company's liability for its own gross negligence or willful misconduct, or any liability that cannot be limited under applicable law.
